Terms & Conditions

These Terms & Conditions (the “Terms”) govern the use of services offered by Crazar Minds (“we”, “our”, “us”) and your use of our website, proposals, statements of work, and deliverables (collectively, the “Services”). By signing a proposal/SOW, paying an invoice, or using our Services, you (the “Client”) agree to these Terms.

2) Scope of Services

We provide consulting, strategy, creative and execution across (a) Content Marketing, (b) Digital/Performance Marketing, (c) Search Engine Optimisation, (d) Event Management, (e) Personal Branding, (f) Medical Empanelment Support, and (g) Design & Printing. The scope, fees, timelines and deliverables for each engagement are defined in a written Proposal or Statement of Work (SOW). If a conflict exists, the SOW prevails over these Terms.


3) Engagement Model & Changes

  • Start: An engagement begins after written acceptance of the SOW and receipt of the agreed advance.

  • Changes: Any change in scope/timelines needs a written change request and may impact fees and deadlines.

  • Access: You will provide timely access to brand assets, accounts, product information and decision‑makers needed to deliver the Service.


4) Fees, Invoicing, Taxes & Expenses

  • Fees: As per the SOW (retainer or fixed‑fee).

  • Taxes: All fees are exclusive of applicable taxes (e.g., GST), which will be added to invoices.

  • Payment terms: Unless stated otherwise, invoices are due within 7 calendar days. Late payments may attract 18% p.a. interest (pro‑rated monthly).

  • Expenses: Out‑of‑pocket expenses (travel, venue, freight, licenses, stock assets) are billable at cost with prior approval.

  • Ad spend: Media budgets are usually paid directly to platforms from the Client’s accounts. When routed through us, a handling/float policy applies as stated in the SOW.


5) Approvals & Delivery

  • Milestones: We share clear drafts/milestones for your review.

  • Approvals: Written approval (email/trackers) moves work to the next stage or to production.

  • Delays: Timelines are contingent on timely feedback, information and approvals from your team.


6) Intellectual Property (IP) & Portfolio Use

  • Client materials: You warrant that all content, logos, trademarks, data and claims you provide are accurate and you have the rights to use them. You grant us a non‑exclusive license to use them for the engagement.

  • Agency materials: Unless the SOW states otherwise, all original deliverables we create for you become your IP upon full and final payment. Our pre‑existing tools, frameworks and libraries remain ours; we grant you a non‑exclusive license to use them as embedded in the deliverable.

  • Third‑party assets: Stock photos, fonts, music, plugins and other licensed materials are governed by their respective licenses (standard/extended). We will list such items in the SOW or delivery notes.

  • Portfolio: We may reference non‑confidential work results (screenshots, logos) in our portfolio and case studies. If you require an embargo/NDA, tell us in writing.


7) Confidentiality & Data Protection

  • Confidentiality: Both parties agree to keep each other’s non‑public information confidential, using it only for the engagement.

  • Data protection: We handle personal data with care and follow applicable Indian privacy law. Where your project involves collecting end‑user data, you are responsible for providing appropriate notices and consents on your properties; we can assist by implementing consent banners and privacy text as agreed in the SOW.


8) Notices

Notices may be sent by email to the contacts listed in the SOW and will be deemed received on business days upon confirmation/read receipt. Physical notices may be sent to the registered addresses.


9) Miscellaneous

  • Independent contractor: We act as an independent contractor, not an employee or agent.

  • No exclusivity: Unless stated in the SOW, we may work with other clients, including in your industry.

  • Severability: If any provision is unenforceable, the remainder remains effective.

  • Assignment: Neither party may assign the engagement without consent, except to an affiliate/successor in a merger or sale.

  • Entire agreement: These Terms + SOW + executed change orders form the entire agreement and supersede prior discussions.

  • Updates: We may update these Terms for new legal or operational reasons. The version effective on your SOW date applies unless both parties agree otherwise in writing.
